Tartalmi kivonat:Entering into a contract sometimes is not the parties' business only, the Civil Code requires to give consent of an outsider to contract. The study shows the role of third parties or authorities protecting their own interests connecting the contractual situation or controlling the contractual statement of a contractual party. The author states that importance of third parties' consent has grown up during the last years while significance of authorities' consent has gone down. The study contains detailed analysis of the original and modified text of the Article 215 of the Hungarian Civil Code. The author makes some comments and critics especially on legal consequences of the absence of the outsiders' consent. The second part of the study is on merger. Parties have to ask for permission from the Hungarian Competition Authority to merge or to obtain direct or indirect controll. Similarites and differences between the Private Law and the Competition Law regulated authority's consent are presented. The author puts some proposals on the base of the Competition Law practice in the end of the study.
